1. Sponsor
This contest ("Contest") is sponsored and administered by Co-Desk ("Sponsor"). The Contest is governed by these Official Rules, which are binding on all entrants.
2. Eligibility
The Contest is open only to legal residents of the United States (including all 50 states and the District of Columbia) and Canada (excluding the province of Quebec) who are 18 years of age or older (or the age of majority in their jurisdiction of residence, whichever is greater) at the time of entry. Entrants must be authorized representatives of a coworking or coliving space operating as a legally registered business entity. Employees, officers, directors, and agents of the Sponsor, and their immediate family members and household members, are not eligible. Void where prohibited or restricted by law.
3. Contest Period
The Contest begins upon publication of this page and ends at 11:59 PM EST on September 9, 2026 ("Contest Period"). Entries received after the Contest Period will not be considered. The Sponsor's computer is the official timekeeping device for the Contest.
4. How to Enter
To enter, participants must: (a) create a Co-Desk account; (b) connect their coworking or coliving space via Stripe Connect during the Contest Period; and (c) process a minimum of $3,000 USD in bookings through Stripe Connect on Co-Desk. This minimum threshold exists solely to verify that the space is a legitimate, actively operating business and to prevent manipulation. Only bookings made after Stripe Connect integration count toward the Contest. Entrants must register for a Co-Desk account (a 30-day free trial is included at sign-up). No paid subscription is required to enter or win; free trial participants are fully eligible. Limit one entry per space/business entity. A minimum of 50 eligible coworking/coliving spaces must participate for the Contest to proceed; if this threshold is not met, the Sponsor reserves the right to cancel the Contest and no prize will be awarded.
5. Winner Determination
The winner will be determined by overall account activity on the Co-Desk platform during the Contest Period, as measured through Stripe Connect. Activity is evaluated based on a combination of total number of bookings/transactions, total revenue processed, and consistency of usage. This is a skill-based contest — no element of chance is involved. The space demonstrating the highest level of genuine, sustained business activity wins. In the event that two or more spaces are deemed equally active, the Sponsor will use transaction volume and timestamps to break the tie. The Sponsor's determination of the winner is final and binding.
6. Prize & Payment
One (1) Grand Prize of $5,000 USD, payable via bank transfer (ACH for US recipients; wire transfer for Canadian recipients). The prize will be awarded within 30 business days of winner verification. No prize substitution, assignment, or transfer is permitted except at the Sponsor's sole discretion. The approximate retail value (ARV) of the prize is $5,000 USD.
Invoicing requirement: As a condition of prize disbursement, the winner must provide a valid invoice from their registered business entity to the Sponsor for the full prize amount ($5,000 USD). The invoice must include the winner's legal business name, registered address, tax identification number (EIN/BN), and banking details. The Sponsor will not release the prize payment until a compliant invoice has been received. The Sponsor reserves the right to withhold payment if the invoice does not meet reasonable commercial standards or applicable tax regulations.
7. Taxes
The winner is solely responsible for all federal, state, provincial, and local taxes, including income taxes, and any other costs or expenses associated with acceptance and use of the prize. For US winners, if the prize value is $600 or more, the Sponsor will issue an IRS Form 1099-MISC. Canadian winners may be required to answer a mathematical skill-testing question as a condition of prize delivery, as required by applicable Canadian law.
8. Verification & Disqualification
The potential winner may be required to provide proof of identity, business registration, residency, and Stripe Connect account ownership. The Sponsor reserves the right, in its sole and absolute discretion, to disqualify any participant at any time, with or without prior notice, who: (a) engages in fraudulent activity, including but not limited to fabricated, inflated, or self-referential transactions; (b) tampers with the entry process or the operation of the Contest; (c) violates these Official Rules; (d) acts in an unsportsmanlike or disruptive manner; (e) engages in any form of manipulation, collusion, or artificial inflation of booking activity; or (f) for any other reason the Sponsor deems appropriate in its sole judgment. Disqualification decisions are final, non-appealable, and not subject to review. Disqualified entries will not be refunded or reinstated, and the Sponsor shall have no liability to any disqualified participant.
9. Limitation of Liability
To the fullest extent permitted by applicable law, the Sponsor and its affiliates, subsidiaries, officers, directors, employees, agents, and partners (collectively, "Released Parties") shall not be liable for: (a) any injury, loss, or damage of any kind arising from participation in the Contest or acceptance/use of the prize; (b) any technical failures, errors, or interruptions affecting the Contest; (c) unauthorized human intervention in the Contest; or (d) any entries that are late, lost, stolen, incomplete, misdirected, or illegible.
BY ENTERING, EACH PARTICIPANT AGREES TO RELEASE AND HOLD HARMLESS THE RELEASED PARTIES FROM ANY AND ALL CLAIMS, DAMAGES, OR LIABILITY ARISING FROM OR RELATING TO THE CONTEST.
10. Privacy
Personal information collected in connection with this Contest will be used solely for Contest administration, prize fulfillment, and as otherwise described in the Co-Desk Privacy Policy. By entering, participants consent to the collection, use, and disclosure of their personal information as described herein and in the Privacy Policy. The Sponsor will not sell or rent participants' personal information to third parties.
11. Publicity
Except where prohibited by law, acceptance of the prize constitutes the winner's consent for the Sponsor to use the winner's name, likeness, business name, and city/province/state of residence for promotional purposes without additional compensation.
12. Modification, Suspension & Cancellation
The Sponsor reserves the right, in its sole and absolute discretion, to modify, suspend, or permanently cancel the Contest at any time, for any reason or no reason, with or without prior notice. Reasons may include but are not limited to: suspected fraud or manipulation, technical failures, insufficient participation, force majeure events, changes in applicable law, or any circumstance that the Sponsor believes compromises the integrity or viability of the Contest. In the event of suspension or cancellation, no prize will be awarded and the Sponsor shall have no obligation or liability to any participant. The Sponsor may, but is not required to, restart the Contest under modified rules at a later date.
13. Governing Law & Disputes
For US residents, the Contest and these Official Rules are governed by the laws of the State of Delaware, without regard to conflicts of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware. For Canadian residents, the Contest is governed by the federal laws of Canada and the laws of the province in which the entrant resides. Any disputes shall be resolved in the courts of competent jurisdiction in the entrant's province of residence.
BY ENTERING, EACH PARTICIPANT WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION RELATED TO THE CONTEST.
14. Severability
If any provision of these Official Rules is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
